Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the SimplySell application and services ("Service"), operated by SimplySell OPC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

SimplySell provides an online platform that connects individuals to list, search for, and discover real estate properties for sale in the Philippines. We are a platform provider and are not a real estate broker, agent, or party to any transaction between users.

3. User Accounts

  • Account Creation: To access the Service, you must register for an account using your Google or Facebook login credentials.
  • Account Responsibility: You are responsible for all activities that occur under your account and for keeping your login information confidential. You agree to notify us immediately of any unauthorized use of your account.

4. User-Generated Content

  • Your Content: You are solely responsible for the property listings, photos, inquiries, messages, and any other information you upload or post to the Service ("User Content").
  • License Grant: By posting User Content, you grant SimplySell a worldwide, non-exclusive, royalty-free, transferable license to use, host, display, reproduce, modify, and distribute your User Content in connection with operating and providing the Service.
  • Content Restrictions: You agree not to post User Content that is:
    • False, misleading, or deceptive.
    • Infringing on any third party's intellectual property rights (e.g., copyright, trademark).
    • Illegal, harassing, defamatory, or obscene.
    • In violation of any Philippine law or regulation.

We reserve the right to remove any User Content that violates these Terms without notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose.
  • Scrape, data-mine, or harvest user information without permission.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems.

6. Intellectual Property

Our Intellectual Property:

The Service, its name, logo, and all related technology and content (excluding User Content) are the exclusive property of SimplySell OPC, protected under the Intellectual Property Code of the Philippines.

Copyright Infringement (Notice and Takedown Procedure):

We respect the intellectual property rights of others. If you believe that any User Content on our Service infringes upon your copyright, please send a formal notice to simplysellph+legal@gmail.com with the following information:

  1. Identification of the copyrighted work you claim heas been infringed.
  2. Identification of the material that is claimed to be infringing and where it is located on the Service.
  3. Your contact information (name, address, telephone number, and email address).
  4. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner.
  5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Upon receipt of a valid notice, we will take whatever action, in our sole discretion, we deem appropriate, including removal of the challenged material.

7. Fees and Payments

The use of SimplySell is currently free. We reserve the right to introduce fees for certain features or for use of the Service in the future. We will provide you with at least 30 days' advance notice of any such fee changes before they become effective.

8. Disclaimers and Limitation of Liability

  • No Warranty: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant the accuracy, completeness, or reliability of any property listings or other User Content. All transactions are conducted at your own risk.
  • Limitation of Liability: To the fullest extent permitted by Philippine law, SimplySell OPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use of the Service.

9. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
  • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through final and binding arbitration in Metro Manila, Philippines, in accordance with the Alternative Dispute Resolution Act of 2004 (R.A. 9285).

10. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including for a breach of these Terms. You may terminate your account at any time by ceasing to use the Service.

11. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and SimplySell OPC regarding the Service.
  • Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of any material changes. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
